Armstrong to Acquire MCTV in Definitive Agreement, Expanding Ohio and West Virginia Footprint

BUTLER, Pa., and MASSILLON, Ohio — Feb. 17, 2026 — Armstrong and Massillon Cable TV, Inc. (MCTV) announced today that they have entered into a definitive purchase agreement under which Armstrong will acquire MCTV, bringing together two long-standing, family-owned telecommunications providers.

The acquisition will expand Armstrong’s scale and service footprint across Ohio and West Virginia, uniting two customer-focused companies with a shared mission of delivering fast, reliable connectivity while continuing sustained investments in the communities they serve.

“We could not be more pleased to be welcoming MCTV customers and employees to the Armstrong family,” said Dru Sedwick, Armstrong Group CEO. “The joining of these two companies is something that makes perfect sense. We continue to believe strongly in this industry.”

According to Armstrong President Jeff Ross, the transaction will add more than 96,000 passings to Armstrong’s footprint, expanding access to the company’s fiber network across six states. Ross said MCTV’s operations in Massillon, Wooster, and along the Ohio-West Virginia border align seamlessly with Armstrong’s existing service areas.

“MCTV has made significant investments in fiber-to-the-home technology and is nearing completion of its network transformation,” Ross said. “That positions the combined company for continued growth and innovation.”

MCTV President Katherine Gessner said the decision was made with the future of employees, customers, and local communities in mind.

“We’ve served our communities well for 60 years, and it’s time to pass the torch,” Gessner said. “I’m confident that Armstrong will not only preserve MCTV’s legacy but build on it. Armstrong shares our values of reliable service, excellent customer care, and deep community involvement.”

Armstrong is widely recognized for its customer-first philosophy and commitment to bridging the digital divide, making it a natural successor to MCTV’s long-standing community-based approach.

The proposed transaction is subject to regulatory approvals and customary closing conditions and is expected to close in the second quarter of 2026.

Moorgate Securities LLC served as exclusive financial advisor to MCTV, with Buckingham, Doolittle & Burroughs, LLC providing legal counsel. Reed Smith LLP served as legal counsel to Armstrong.
